ソフトウェア使用許諾契約書

　このソフトウェア使用許諾契約（以下、本契約といいます。）は、お客様（法人または個人とします。）とキヤノン株式会社（以下、キヤノンといいます。）との間で、①本契約とともに提供される、ソフトウェア・プログラム（かかるソフトウェア・プログラムとともに、またはオンラインで、かかるソフトウェア・プログラムに関連するマニュアル等の電子的資料が提供される場合は、それらを含みます。）並びにそれらのアップデート版（以下、併せて「ソフトウェア」といいます。）、②「ソフトウェア」の使用によりオンラインで提供される、キヤノンのプリンター製品および／またはスキャナー製品（以下「プリンター」といいます。）または「ソフトウェア」用のデータ、または「プリンター」用のファームウェアのアップデート版（以下「更新データ」といいます。）、および／または③お客様による印刷利用のために本契約とともに提供され、または「ソフトウェア」の使用によりオンラインで提供される「ソフトウェア」以外の文字テキスト、画像、図形その他デジタルデータ形式の視覚表現物およびそれらのアップデート版（以下、併せて「コンテンツデータ」といいます。）に関し締結される法的な契約です。「ソフトウェア」、「更新データ」および「コンテンツデータ」は、それぞれまたは併せて「許諾ソフトウェア」といいます。

お客様は、本契約とともに提供される同意を示すボタンをクリックし、もしくは「許諾ソフトウェア」をインストールし、または「許諾ソフトウェア」を使用することにより、本契約の条項に同意されたものとします。本契約の条項に同意されない場合は、「許諾ソフトウェア」を使用することはできません。

なお、「許諾ソフトウェア」には、本契約の各条項が適用されない第三者のライブラリ、ソフトウェア、モジュール等（以下「第三者ソフトウェア」といいます。）が含まれる場合があります。かかる「第三者ソフトウェア」の使用条件は、本契約の末尾、「許諾ソフトウェア」に関連するマニュアル等の資料、または「許諾ソフトウェア」内に記載されていますのでご確認ください。

１．権利の留保
(1) 「許諾ソフトウェア」に関する著作権を含む一切の権利は、キヤノンまたはキヤノンのライセンサーに帰属します。
(2) 本契約に明示的に定める場合を除き、キヤノンおよびキヤノンのライセンサーのいかなる知的財産権も、明示たると黙示たるとを問わず、お客様に譲渡または許諾されるものではありません。
(3) お客様は、「印刷物」（以下に定義します。）その他「許諾ソフトウェア」の複製物を含む「許諾ソフトウェア」に含まれるキヤノンまたはキヤノンのライセンサーの著作権表示を変更、除去または削除してはなりません。

２．使用許諾
(1)-1. お客様は、「ソフトウェア」を、お客様のコンピューターにおいて使用（「使用」とは、「ソフトウェア」をコンピューターの固定記憶装置上にインストールすること、またはコンピューターにおいて表示すること、アクセスすること、読み出すこと、もしくは実行することのいずれも含むものとします。）することができます。
(1)-2. お客様は、「更新データ」を、お客様のコンピューターおよび「プリンター」において使用（「使用」とは、「更新データ」をコンピューターまたは「プリンター」の固定記憶装置上にインストールすること、並びにコンピューターまたは「プリンター」において表示すること、アクセスすること、読み出すこと、もしくは実行することのいずれも含むものとします。）することができます。
(1)-3. お客様は、「コンテンツデータ」を、お客様のコンピューターにおいて使用（「使用」とは、「コンテンツデータ」をコンピューターの固定記憶装置上に保存すること、またはコンピューターにおいて表示することをいいます。）し、複製することができます。お客様は、「コンテンツデータ」を頒布、再許諾、レンタル、販売または譲渡することはできません。お客様は、「コンテンツデータ」を媒体に印刷し、印刷されたそれらのもの（以下、「印刷物」といいます。）を、お客様自身による非商業的目的のために使用し、使用させ、複製し、複製させ、頒布することができます。お客様は、「印刷物」を商業的目的のために使用し、使用させ、複製し、複製させ、頒布することはできません。キヤノンは、お客様による「印刷物」の使用および利用につき一切の責任を負わず、また、本項に基づくお客様による「印刷物」の使用および利用もしくはこれらに関連して生じるお客様と第三者との間の紛争または訴訟につき一切責任を負わないものとします。
(2) お客様は、バックアップの目的で「許諾ソフトウェア」を合理的な範囲において複製することができます。但し、お客様は、かかるバックアップコピーに「許諾ソフトウェア」に含まれているすべての著作権表示を含めた形で複製を行うものとします。
(3) 本契約に明示的に定める場合を除き、お客様は、「許諾ソフトウェア」の全部または一部を修正、改変、リバース・エンジニアリング、逆コンパイル、逆アセンブルまたは他のプログラミング言語へ変換することはできません。また、第三者にこのような行為をさせてはなりません。
(4) 本契約に明示的に定める場合を除き、お客様は、「許諾ソフトウェア」を再使用許諾、譲渡、販売、頒布、賃貸、リースもしくは貸与すること、または複製もしくは翻訳することはできません。また、第三者にこのような行為をさせてはなりません。
(5) お客様は、「許諾ソフトウェア」を、各種法令等に違反する行為または公序良俗に反する行為のために利用することはできません。また、第三者にこのような行為をさせてはなりません。
(6) お客様は、「コンテンツデータ」を、アダルトコンテンツ、暴力団関係等と関連する目的で利用することはできません。また、第三者にこのような行為をさせてはなりません。
(7) お客様は、「コンテンツデータ」に関するキヤノンまたはキヤノンのライセンサーの著作権、肖像権、商標権その他の権利を侵害する方法で「コンテンツデータ」を利用することはできません。また、第三者にこのような行為をさせてはなりません。
(8) お客様は、「コンテンツデータ」の全部または一部を自らまたは第三者のために商標、商号、サービスマークその他の商品表示に利用し、登記し、または登録することはできません。また、第三者にこのような行為をさせてはなりません。
(9) お客様は、「コンテンツデータ」を、キヤノン、キヤノンの子会社、もしくはキヤノンのライセンサーのイメージを損なう行為のために利用すること、またはその他キヤノンが不適切と判断する目的で利用することはできません。また、第三者にこのような行為をさせてはなりません。

３．情報送信および利用の承諾
　お客様は、(1)お客様が「ソフトウェア」を使用してインターネットを通じてキヤノンまたはキヤノンが指定した第三者のサーバーにアクセスした場合に、お客様の使用環境に適合した情報・データのお客様への提供のために、「ソフトウェア」が、お客様の使用する「プリンター」の名称およびシリアル番号、「許諾ソフトウェア」の種類、言語の設定情報、インクまたはトナーの情報、「プリンター」の状態に関する情報、地域情報、並びにOS・ブラウザーの種類等の情報を送信する場合があること（但し、送信されるこれらの情報にお客様の個人情報は含まれません。）、および、(2)キヤノン、キヤノンの子会社、それらの販売代理店および販売店が、お客様から送信されたこれらの情報を今後の製品開発や品質・サービスの向上のために分析し、利用する場合があることを了解し、これらに同意するものとします。

４．保証の否認および免責
(1) 「許諾ソフトウェア」は、『現状のまま（AS-IS）』の状態で使用許諾されます。キヤノン、キヤノンの子会社、それらの販売代理店および販売店、並びにキヤノンのライセンサーは、「許諾ソフトウェア」に関して、商品性および特定の目的への適合性または「許諾ソフトウェア」に欠陥がないことを含め、いかなる保証もしません。
(2) キヤノン、キヤノンの子会社、それらの販売代理店および販売店、並びにキヤノンのライセンサーは、お客様が「許諾ソフトウェア」を使用した結果として生ずるあらゆる行為について、一切の責任を明確に否認します。お客様は、ご自身の裁量とリスクで「許諾ソフトウェア」を使用し、「許諾ソフトウェア」を使用することから生じた、機器の損傷またはデータ損失については、お客様のみが全責任を負います。
(3) キヤノン、キヤノンの子会社、それらの販売代理店および販売店、並びにキヤノンのライセンサーは、本契約に基づくそれらの債務不履行または不法行為によりお客様に損害が生じた場合、いかなる損害（逸失利益およびその他の派生的または付随的な損害を含むがこれらに限定されない全ての損害をいいます。）についても、一切の責任を負わないものとします。
(4) お客様とキヤノンとの間の本契約が消費者契約法に定める消費者契約に該当する場合であって、「許諾ソフトウェア」の動作が実質的に仕様に不一致の場合についてのキヤノン、キヤノンの子会社、それらの販売代理店または販売店並びにキヤノンのライセンサーのすべての責任およびお客様の唯一の救済は、前項の規定にかかわらず、当該不一致により生じた問題を解決するための対応策の提示、対応策の実施または「許諾ソフトウェア」の修正版の作成および提供のみです。キヤノン、キヤノンの子会社、それらの販売代理店または販売店並びにキヤノンのライセンサーは、お客様による「許諾ソフトウェア」の誤用または本契約において許諾されていない方法による使用が原因で当該問題が生じた場合、前記の責任を負いません。ただし、お客様とキヤノンとの間の本契約が消費者契約法に定める消費者契約に該当する場合であって、キヤノン、キヤノンの子会社、それらの販売代理店または販売店並びにキヤノンのライセンサーの故意または重過失による債務不履行または不法行為に起因して「許諾ソフトウェア」に関しお客様に生じた損害については、本項は適用されないものとします。
(5) キヤノン、キヤノンの子会社、それらの販売代理店および販売店、並びにキヤノンのライセンサーは、「許諾ソフトウェア」の使用に起因または関連してお客様と第三者との間に生じるいかなる紛争についても、一切責任を負わないものとします。

５．サポートおよびアップデート
　キヤノン、キヤノンの子会社、それらの販売代理店および販売店、並びにキヤノンのライセンサーは、「許諾ソフトウェア」のメンテナンスおよびお客様による「許諾ソフトウェア」の使用の支援、並びに「許諾ソフトウェア」に対するアップデート、バグの修正またはサポートの提供について、いかなる責任を負うものでもありません。

６．「GPL」および特別な例外に基づき許諾されるソフトウェアモジュールについて
　「許諾ソフトウェア」にはフリーソフトウェアが含まれる場合があります。該当する場合、お客様は本契約のいかなる定めにかかわらず、本契約に添付のNOTICEおよび「GPL」（NOTICEにおいて定義されます。）の条件に従って再頒布または変更することができます。詳細は本契約に添付のNOTICEをお読みください。

７．輸出
　お客様は、日本国政府または該当国の政府より必要な認可等を得ることなしに、「許諾ソフトウェア」の全部または一部を、直接または間接に輸出してはなりません。

８．契約期間
(1) 本契約は、お客様が本契約とともに提供される同意を示すボタンをクリックし、または「許諾ソフトウェア」をインストールした時点で発効し、下記(2)または(3)により終了されるまで有効に存続します。
(2) お客様は、すべての「許諾ソフトウェア」（そのバックアップコピーおよびインストール済みの「ソフトウェア」、保存済みの「コンテンツデータ」を含むが、「プリンター」にインストール済みの｢更新データ｣は含まないものとします。以下同じ。）を消去することにより本契約を終了させることができます。
(3) キヤノンは、お客様が本契約のいずれかの条項に違反した場合、直ちに本契約を終了させることができます。
(4) お客様は、上記(3)による本契約の終了後直ちに、「許諾ソフトウェア」を消去するものとします。
(5) 第１条、第３条、第４条、第６条および第７条の規定は、本契約の終了後も効力を有するものとします。

９．分離可能性
(1) 本契約のいずれかの条項またはその一部が法律により無効となっても、本契約のそれ以外の部分は効力を有するものとします。
(2) 本契約は日本国法に準拠するものとします。
(3) 本契約に関わる紛争は、東京地方裁判所を管轄裁判所として解決するものとします。

１０．U.S. GOVERNMENT RESTRICTED RIGHTS NOTICE
The Software is a "commercial item," as that term is defined in 48 C.F.R. 2.101 (Oct 1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (Sept 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (June 1995), all U.S. Government End Users acquire the Software with only those rights set forth herein. Manufacturer is Canon Inc./ 30-2, Shimomaruko 3-chome, Ohta-ku, Tokyo 146-8501, Japan.

NOTICE: GPL および特別な例外に基づき許諾されるソフトウェアモジュールについて

1. 定義
(1) 本NOTICEにおいて、「モジュール1」、「モジュール2」および「モジュール3」とは、本NOTICEとともに提供されるReadmeファイルのExhibit 1、Exhibit 2、Exhibit 3にそれぞれ記載されたソフトウェアモジュールをいいます。
(2) 本NOTICEにおいて、「GPL」とは、Free Software Foundationが定めたGNU General Public License Version 2をいいます。

2. 条件
　「モジュール2」および「モジュール3」はフリーソフトウェアです。お客様は、「モジュール2」および「モジュール3」を「GPL」の条件に従って再頒布または変更することができます。「モジュール2」および「モジュール3」の頒布にあたっては、市場性及び特定目的適合性についての暗黙の保証を含めて、いかなる保証も行ないません。詳細については本NOTICEに添付の「GPL」の全文をお読みください。

3. 例外
　キヤノンは、「GPL」に対して以下の各号に定めるとおりの特別な例外を付して、お客様に「モジュール3」を頒布します。当該特別な例外は、「モジュール3」にのみ適用されるものとします。
(1) お客様が実行ファイルを生成するために「モジュール3」を「モジュール1」とリンクした場合、当該リンクした結果として得られた実行ファイル（以下「実行ファイル」といいます。）が「GPL」に基づき取り扱わなければならないものではないという許可を与えます。「実行ファイル」のお客様による使用は、「モジュール3」をリンクしたことにより少しも制限されるものではありません。なお、本項各号に定める特別な例外は、「実行ファイル」が「GPL」に基づき取り扱わなければならない他のいかなる理由をも無効にするものではありません。
(2) お客様が、「GPL」の条件を遵守した上で、「モジュール2」または「GPL」のもとで提供されている他のコードを「モジュール3」の複製物の中に組み込んだ場合、本項各号に定める特別な例外は、当該お客様が「モジュール3」の複製物の中に組み込んだ「モジュール2」または当該他のコード（当該「モジュール2」および当該他のコードを併せて以下「組込コード」といいます。）には適用されません。かかる場合、「組込コード」の使用許諾条件についての誤解を避けるため、お客様は「組込コード」から、本項に定める特別な例外を削除しなければなりません。また、かかる場合、お客様は、「組込コード」を「モジュール1」とリンクして実行ファイルを生成してはならないものとします。
(3) お客様が「モジュール3」の修正を作成した場合、本項各号に定める特別な例外が、当該修正に適用されることを許可するかどうかはお客様の選択によります。お客様が、当該修正に本項各号に定める特別な例外が適用されることを望まない場合には、本項を削除してください。この場合も、お客様は、当該修正と「モジュール1」をリンクして実行ファイルを生成してはならないものとします。
